The specific services included in your purchase or engagement will be described at the time of purchase or in a separate agreement, proposal, invoice, or other written communication.

2. Virtual Assistant Matching

Our goal is to identify a virtual assistant whose skills, experience, availability, communication style, and other characteristics are reasonably aligned with your stated needs.

However, we do not guarantee that any particular virtual assistant will be a perfect match or that a particular outcome will result from the relationship.

Virtual assistants may be independent contractors or otherwise separately engaged individuals or service providers. Unless expressly stated in a separate written agreement, VA Made Easy does not guarantee the employment status, availability, performance, or continued engagement of a particular virtual assistant.

3. Client Responsibilities

You agree to:

Provide accurate and complete information during the discovery and matching process

Clearly communicate your business needs and expectations

Provide reasonable instructions and feedback

Provide necessary access, information, tools, and materials required for authorized tasks

Maintain appropriate security controls for your accounts and systems

Protect passwords and authentication information

Maintain backups of important business information

Comply with applicable laws and regulations

Treat virtual assistants and members of our team professionally and respectfully

You are responsible for reviewing work performed on your behalf before relying on or publishing it.

4. Account and System Access

If you provide a virtual assistant or VA Made Easy team member with access to your systems, you are responsible for determining and controlling the level of access provided.

Whenever possible, we recommend:

Using individual user accounts

Using role-based permissions

Enabling multi-factor authentication

Providing only the access necessary to perform a task

Removing access when it is no longer required

You are responsible for maintaining the security of your own business systems and accounts.

5. Confidential Information

We understand that clients may share confidential business information with us or with their virtual assistant.

You should identify information that is particularly sensitive and use appropriate confidentiality agreements, access controls, and security procedures where necessary.

Unless otherwise agreed in writing, information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law will not be considered confidential.

For particularly sensitive projects, we recommend using a separate written confidentiality or non-disclosure agreement.

6. Payments and Fees

Fees, payment schedules, subscription terms, and other financial terms will be communicated to you before or at the time you purchase our services.

You agree to pay all applicable fees according to the agreed payment terms.

If payment is not received when due, we may suspend or terminate access to services, subject to applicable law and any separate agreement between you and us.

7. Cancellations, Refunds, and Rematching

Any cancellation, refund, credit, or rematching terms applicable to your specific service or program will be communicated in your purchase agreement, order confirmation, proposal, or other applicable terms.

Unless otherwise expressly stated, payment for completed services is non-refundable to the extent permitted by law.

If a virtual assistant relationship is not an appropriate fit, we may, where included in your service, assist with evaluating the situation and determining whether a rematch or other solution is appropriate.

8. Educational and Coaching Content

Our coaching, training, templates, SOPs, resources, and educational materials are provided for informational and educational purposes.

They are not legal, tax, accounting, financial, employment, or other professional advice.

You are responsible for obtaining professional advice appropriate to your circumstances.

9. No Guarantee of Results

We do not guarantee specific business, financial, productivity, revenue, marketing, hiring, or other results from using our services.

Your results depend on many factors, including your business, implementation, decisions, resources, market conditions, and the performance of people working within your business.

Testimonials and examples presented on our Website describe individual experiences and are not guarantees of future results.

10. Intellectual Property

Unless otherwise stated, the Website and its content—including text, graphics, logos, designs, videos, courses, templates, systems, SOPs, training materials, frameworks, and other materials—are owned by or licensed to VA Made Easy and are protected by applicable intellectual property laws.

When you purchase access to our proprietary materials, you receive a limited, non-exclusive, non-transferable right to use those materials for your own personal or internal business purposes.

You may not, without our prior written permission:

Copy or reproduce our proprietary materials for resale

14. Limitation of Liability

To the maximum extent permitted by applicable law, VA Made Easy and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Website or services.

To the maximum extent permitted by law, our total liability arising from a service will be limited to the amount you paid to us for that service during the applicable period giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless VA Made Easy and its owners, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, and expenses arising from:

Your violation of these Terms

Your unlawful use of the Website or services

Your misuse of our services

Your violation of another person's rights

Information or materials you provide to us

Your use of or access to third-party systems

16. Termination

We may suspend or terminate your access to the Website or services if you materially violate these Terms, fail to make required payments, misuse our services, engage in abusive conduct, or otherwise create a significant risk to our business or users.

Any dispute-resolution provisions in a separate service agreement or purchase agreement will control over conflicting provisions in these general Website Terms.
